The service
SmartWMS is a subscription warehouse management service supplied by Powersoft Computer Solutions Ltd. It covers receiving, putaway, stock control, expiry and lot tracking, picking, packing, dispatch, reporting and AI-assisted insights. It does not include e-commerce storefronts, courier or last-mile delivery, accounting, invoicing or point-of-sale functions.
Subscription and organization account
Each customer receives a single, isolated organization within SmartWMS. The customer nominates an administrator who is responsible for creating users, assigning permissions and keeping credentials secure. The customer is responsible for all activity carried out under its users’ accounts.
Acceptable use
The service may not be used to store unlawful content, to attempt unauthorised access to our systems or other organizations, to reverse-engineer the software, or to resell access without our written agreement.
Availability and offline behaviour
We aim to keep the service available at all times, but we do not guarantee uninterrupted access. Offline mode is designed to keep floor operations running without connectivity; changes are queued locally and synchronised when a connection returns. Continued offline operation still requires periodic connectivity to synchronise, and we are not liable for discrepancies caused by extended periods without any sync.
Data ownership
The customer owns its warehouse data. We claim no rights over it beyond what is needed to provide, support and secure the service.
ERP integration dependency
Synchronisation with an ERP depends on that ERP being available and on valid credentials and permissions being supplied by the customer. We are not responsible for failures, delays or data errors caused by the customer’s ERP, its configuration or third-party changes to it.
Support and updates
Support is provided during business hours as set out in the order form. Updates and fixes are delivered automatically; because SmartWMS installs from the browser, customers always run the current version.
Fees and payment
Fees, billing frequency and any optional add-ons, ERP connector setup, on-premise AI appliance, RFID hardware, are set out in the applicable order form or statement of work. Fees are payable according to the terms stated there.
Limitation of liability
To the extent permitted by law, neither party is liable for indirect or consequential loss, including loss of profit, revenue or anticipated savings. Our total liability in any twelve-month period is limited to the fees paid by the customer in that period. Nothing in these terms limits liability for death, personal injury or fraud.
Termination and data export on exit
Either party may terminate at the end of the subscription term with the notice period stated in the order form, or earlier for material breach that is not remedied. On termination the customer may request a full export of its warehouse data in a machine-readable format within 30 days, after which the data is deleted.
Confidentiality
Each party will keep the other’s non-public information confidential and use it only to perform its obligations under these terms.
Governing law
These terms are governed by the laws of the Republic of Cyprus, and the courts of Cyprus have exclusive jurisdiction. This is placeholder wording, to be confirmed by legal counsel.
Changes to these terms
We may amend these terms to reflect changes in the service or the law. Customers will be notified in advance of material changes, which take effect at the start of the next renewal period.
